Founding Connector Program Agreement

This Founding Connector Program Agreement ("Agreement") is between you ("Applicant" or "Founder") and Levaterra Foundation ("Association"), which operates ilumWeave as a Private Member Association platform. Participation is invite-only and requires a separate Levaterra Foundation Member Agreement for platform access.

1. Program overview

The Founding Connectors program offers a limited number of identical positions (currently 250 slots) for early builders who help test, vet, and grow the ilumWeave connector network. Each position may include lifetime platform access at a founding one-time price (currently $499), after which standard Lifetime access may be offered at a higher price (currently $2,499).

Stakeholder benefits are program perks — not ownership, equity, securities, profit share, dividends, or guaranteed returns.

2. Lifetime platform access vs AI credits

Lifetime access means you are not required to pay a recurring subscription fee for covered platform features (connector CRM, connections, listing tools when assigned, and related non-AI capabilities) after your founding lifetime purchase or approved activation.

Lifetime access does not include free AI. Every AI-powered operation listed on the Billing page consumes ilumWeave Credits (SC) funded by you — earned through program activities (feedback, referrals, daily use) or purchased top-ups. Founding members receive 0 included SC per month unless separately granted by staff.

3. Invite-only application

• Only individuals who receive a signed invitation from an authorized ilumWeave super administrator may apply.
• Invitations are personal, non-transferable, and tied to the invited email address.
• Submitting an application does not guarantee acceptance if the invitation has expired or been revoked.
• The Association may decline or revoke participation for misrepresentation, abuse, or conduct inconsistent with the program.

4. Founder role and benefits

Upon acceptance of this Agreement and completion of the application, you may receive the Founder role and associated program benefits described at the time of invitation, which may include:

• Eligibility to purchase or receive Founding Lifetime platform access while slots remain
• Connector workspace tools (subject to your account roles and vetting)
• Participation in feedback rewards and gamification programs (staff accounts are exempt)
• Recognition as a Founding Connector when a numbered slot is assigned
• An advisory vote on major platform decisions that could materially affect connector revenue, platform attractiveness, or overall usefulness

Benefits may change for future program cohorts. Your accepted version is recorded on your account.

Advisory vote on major platform decisions

From time to time, ilumWeave may invite Founders to vote on major platform decisions — for example changes to subscription pricing, founding program caps, core CRM capabilities, or how AI features are monetized.

• Founder votes are advisory. They help leadership understand builder sentiment but do not bind the Association.
• ilumWeave retains majority decision authority and final say on all platform decisions at all times.
• Not every release or policy change will be put to a Founder vote. Routine updates, security work, legal compliance, and day-to-day operations remain at staff discretion.
• A Founder vote is not equity, a board seat, profit share, or a guarantee that any particular outcome will be adopted.

5. Payments and refunds

Founding Lifetime and other paid tiers are private transactions within the Association. Pricing, slot caps, and included credits are stated on the Founding Connectors page and Billing at the time of purchase. Payments are generally non-refundable except where required by applicable law or explicitly stated in writing by the Association.

Manual payment methods (ACH, wire, PayPal) may require staff activation after funds clear.

6. No investment or securities relationship

You acknowledge that:

• This program is not an investment opportunity and creates no equity, ownership, partnership, or creditor interest in Levaterra Foundation, ilumWeave, or any Association entity.
• There is no guarantee of profit, revenue share, valuation increase, or liquidity event.
• SC are platform credits for AI features (approximately $0.01 retail per SC) and are not cash unless explicitly stated elsewhere in Association terms.

7. Conduct and confidentiality

Founders are expected to participate in good faith — testing features honestly, submitting constructive feedback, and respecting the privacy of sellers, connectors, and Association operations. You agree not to misrepresent the program publicly (including avoiding terms like "investment," "returns," or "equity" when describing your participation).

Program materials, unreleased features, and internal roadmap discussions may be confidential. Do not share non-public information without permission.

8. Termination

The Association may suspend or revoke Founder status, founding lifetime access, or platform membership for violation of this Agreement, the Member Agreement, Terms of Service, or Privacy Policy. Slot numbers and badges may be removed upon revocation except where already earned through a completed, non-disputed purchase recorded in good faith.

9. Relationship to other agreements

This Agreement supplements — and does not replace — the Levaterra Foundation Member Agreement, Terms of Service, and Privacy Policy. If there is a conflict regarding founding program benefits, this Agreement controls for Founders who accepted it.

10. Acknowledgment

By accepting this Agreement, you confirm that you:

• Received a valid invitation and are applying voluntarily
• Understand lifetime access is not free AI
• Understand stakeholder benefits are not equity or guaranteed financial upside
• Understand Founder votes are advisory and ilumWeave retains final say on platform decisions
• Agree to the program rules in effect on the acceptance date
